Version 1.1 · 24 October 2026
Member Licence Agreement
1. Parties and purpose
1.1 This agreement is between Engaged Investments s.r.o., with its registered office at Trojská 40/154, Troja, 171 00 Praha 7, company ID (IČO) 21438544, registered in the Commercial Register kept by the Municipal Court in Prague, file C 401897, the organiser of the Engaged Investments Club (the "Operator"), and each person admitted as a member (a "Member").
1.2 The Club is a private online community where investors across Europe share investment opportunities and information about their investment focus. Its purpose is to help Members find, evaluate and discuss early-stage investments and to connect with each other and with founders (the "Purpose").
1.3 The Club is not an investment platform. The Operator does not arrange, syndicate, intermediate or recommend investments, does not handle money, and charges no fees for deals.
2. What Members share
2.1 Profile Content: information a Member gives about themselves and their organisation, such as name, organisation, role, sectors, stages, geography, ticket size, criteria and contact details.
2.2 Deal Content: information a Member shares about a company or investment opportunity, including descriptions, links, round details and comments.
2.3 Profile Content and Deal Content together are Member Content. Members share only information that is public or that the company has approved for sharing with investors. The Club is not a place for confidential information.
3. Ownership
Each Member keeps all rights in their Member Content. Nothing in this agreement transfers ownership to the Operator or to other Members.
4. Licence to the Operator
4.1 Each Member grants the Operator a non-exclusive, royalty-free, non-transferable licence to host, store, copy, format, display and make available their Member Content to other Members, only for the Purpose and for running the Club.
4.2 The Operator may also use anonymised and aggregated statistics, for example the number of deals shared by sector, in reports about the Club. These never identify a Member or a company without consent.
4.3 The licence lasts while the Member Content is in the Club and ends when it is removed, except for backups kept for a limited period and records the Operator must keep by law.
5. Licence between Members
5.1 Each Member grants every other Member a personal, non-exclusive, non-transferable licence to view and use Member Content only for the Purpose: to assess an opportunity, contact the founder or the sharing Member, and make their own investment decisions.
5.2 A Member may share a deal they found in the Club with colleagues in their own organisation and its advisers who need it for the Purpose, and remains responsible for how they use it.
6. Prohibited use (no misuse)
No Member, and not the Operator, may:
- sell, license, publish or otherwise give Member Content to anyone outside the Club, except as allowed in clause 5.2;
- scrape, bulk download or export Member Content, or use it to build a database, list or product;
- use Member Content for unsolicited marketing, mass mailing or fundraising campaigns aimed at other Members;
- use Member Content to train AI models or for any purpose other than the Purpose;
- contact a founder in a way that misrepresents the relationship with the sharing Member or with the Club;
- use another Member's investment focus or criteria to compete unfairly or to harm that Member;
- share confidential information, information they have no right to share, or information that is false or misleading.
7. Member promises
Each Member confirms that:
- the information they share is accurate to the best of their knowledge and kept up to date;
- they have the right to share it, and for Deal Content, the founder or company is happy to be introduced to investors;
- they state their own role and any conflict of interest when sharing a deal;
- they make their own investment decisions and do their own due diligence;
- they are not subject to EU, UN or other applicable sanctions, and will tell the Operator if that changes.
8. Operator commitments
The Operator will:
- use Member Content only for the Purpose and for running the Club;
- never sell or rent Member Content or personal data;
- limit access to Member Content to approved Members, and never give Partners access to it;
- remove Member Content on request without undue delay;
- protect the platform with reasonable security measures;
- remove content or suspend Members who break this agreement.
8A. Partners
8A.1 The Operator may admit selected service providers, such as law firms, fund administrators, banks and auditors, as Partners. Partners have their own area of the platform where they publish a profile, offers, insights, office hours and events. Partner content is clearly labelled and reviewed by the Operator before it goes live. The Operator does not endorse Partners, and nothing they publish is investment advice.
8A.2 Partners have no access to Member Content, Member profiles, the Members directory or Member contact details. This is enforced technically.
8A.3 A Member's details are shared with a Partner only when the Member chooses to share them: by requesting an offer, booking office hours, or ticking the sponsor box when registering for an event. Before confirming, the Member sees exactly which details go to which Partner. The Operator records each consent, and the Member can review and withdraw it in their profile.
8A.4 Once details are shared, the Partner is responsible for them as an independent controller. Under its agreement with the Operator, the Partner may use them only to respond to the request, may not add the Member to marketing lists without asking first, and must delete them on request.
8A.5 Partners pay the Operator for visibility only. The Operator never sells Member Content or personal data to Partners, and receives no payment linked to investments or to services Members buy.
8A.6 Partners may receive anonymised, aggregated reports. Figures below 5 are never shown, so no Member can be identified.
9. Personal data
9.1 The Operator processes personal data in Member Content as controller under the GDPR, on the basis of this agreement and its legitimate interest in running the Club. Details are in the Club privacy notice.
9.2 Members may access, correct, export or delete their personal data at any time from their profile or by writing to [contact email].
9.3 When a Member shares information about another person, such as a founder's name and contact, they confirm that person would reasonably expect it to be shared with investors.
9.4 The Operator uses service providers for hosting, email and AI processing, bound by data processing agreements under the GDPR. Personal data is stored in the European Economic Area where possible. Any transfer outside it is made only with appropriate safeguards, such as an EU adequacy decision or the EU Standard Contractual Clauses. The privacy notice lists these providers.
9.5 When a Member uses automatic fill, the uploaded deck or the public website is processed once by the AI provider to suggest form entries. The result is stored and reused, and is not used to train AI models.
10. No advice and no liability for Member Content
10.1 Nothing in the Club is investment, legal or tax advice, an offer of securities or a recommendation. Members invest at their own risk.
10.2 The Operator does not check Member Content and is not responsible for its accuracy, but will act promptly on reports of misuse or inaccurate content.
10.3 To the extent allowed by law, the Operator's liability is limited to cases of intent or gross negligence.
11. Ending membership
11.1 A Member may leave at any time. Their profile is deleted. Deals they shared are deleted or, on their choice, kept with their name removed.
11.2 The Operator may suspend or end a membership for breach of this agreement, with notice except in serious cases.
11.3 Clauses 3, 6, 10 and 12 continue after membership ends.
12. Changes and law
12.1 The Operator may update this agreement with at least 30 days' notice. A Member who disagrees may leave before the change takes effect.
12.2 This agreement is governed by Czech law. Courts in Prague have jurisdiction. If a Member acts as a consumer, this does not take away the protection of the mandatory rules of their country of residence, or their right to bring proceedings there.
12.3 This agreement is made in English, which prevails over any translation.
12.4 Version 1.1, 24 October 2026. It applies to new Members immediately and to existing Members 30 days after notice under clause 12.1.
